Welcome to CloudVault Key LLC. These Terms and Conditions govern your use of our website and the purchase of digital services (including website design, SEO, PPC management, content writing, and app development) offered through our WooCommerce checkout.

1. Agreement to Terms

By accessing our website and placing an order, you agree to be bound by these Terms and Conditions. If you disagree with any part of these terms, you may not access our website or purchase our services.

2. Business Entity and Governing Law

  • Entity: Services are provided by CloudVault Key LLC, a Wyoming Limited Liability Company (LLC) located at 30 N Gould St Ste N, Sheridan, WY 82801 US.
  • Governing Law: These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, USA, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in Wyoming.

3. Scope of Services & Client Approvals

  • Deliverables: All service scopes, deliverables, and timelines are outlined on individual service pages or in custom project proposals.
  • Review & Acceptance: Upon delivery of project milestones or completed work, you have 7 business days to review and request revisions within the agreed scope. If no feedback or revision requests are received within 7 business days, the deliverable will be deemed accepted and complete.
  • Project Dormancy: If a project is delayed for more than 30 consecutive days due to client unresponsiveness or failure to provide required assets, CloudVault Key LLC reserves the right to pause the project. A fee may apply to reactivate dormant projects.

4. Orders, Pricing, and Payments

  • Payment Gateways: All payments are processed securely via Stripe (supporting Visa, Mastercard, and other major credit/debit cards).
  • Currency & Taxes: Prices are listed in USD. As an international buyer, your bank or card issuer may apply foreign exchange fees or international transaction charges. You are responsible for any applicable local taxes or value-added taxes (VAT) in your jurisdiction.
  • Service Initiation: Work on your project or campaign will only commence once payment has been successfully processed and verified through Stripe.

5. Client Responsibilities

To ensure timely delivery, you agree to provide necessary materials, access credentials, content, and feedback promptly. Delays in providing required information may result in adjusted project delivery timelines.

6. Intellectual Property Rights

  • Client Ownership: Upon full payment, you own the final delivered custom files, designs, and code created specifically for your project. CloudVault Key LLC retains ownership of pre-existing frameworks, proprietary code, or third-party tools utilized in the build.
  • Portfolio Rights: We reserve the right to showcase completed projects in our portfolio and marketing materials unless a formal Non-Disclosure Agreement (NDA) is requested and signed prior to project commencement.

7. Third-Party Services & Warranties Disclaimer

  • No Guarantee of Specific Results: While we employ industry best practices, we cannot guarantee specific rankings, traffic levels, ad conversions, or revenue outcomes due to independent third-party factors (including search engine algorithm updates, ad platform policy changes, and market dynamics).
  • Third-Party Platforms: We are not liable for outages, data losses, billing changes, or service disruptions caused by third-party hosting providers, domain registrars, plugin developers, or ad networks (e.g., Google Ads, Meta).

8. Limitation of Liability

To the maximum extent permitted by Wyoming law, CloudVault Key LLC, its officers, employees, and contractors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities arising from your use of our services or website. Our total liability shall not exceed the amount paid by you for the specific service in dispute.
